ปตท. แจ้งเลื่อนประชุมสามัญผู้ถือหุ้นประจำปี 63 และอนุมัติจ่ายเงินปันผลระหว่างกาล เพื่อควบคุมการระบาดของโรคไวรัส COVID-19
เมื่อวันที่ 30 มีนาคม 2563 นายชาญศิลป์ ตรีนุชกร ประธานเจ้าหน้าที่บริหารและกรรมการผู้จัดการใหญ่ บริษัท ปตท. จำกัด (มหาชน) (ปตท.) เปิดเผยภายหลังมติประชุมคณะกรรมการ ปตท. นัดพิเศษ ครั้งที่ 1/2563 เมื่อวันที่ 26 มีนาคม 2563 ว่า ตามที่ได้มีประกาศสถานการณ์ฉุกเฉินในทุกเขตท้องที่ทั่วราชอาณาจักร ณ วันที่ 25 มีนาคม 2563 และข้อกำหนดออกตามความในมาตรา 9 แห่งพระราชกำหนดการบริหารราชการในสถานการณ์ฉุกเฉิน พ.ศ. 2548 (ฉบับที่ 1) ประกอบกับประกาศกรุงเทพมหานคร เรื่องสั่งปิดสถานที่เป็นการชั่วคราว (ฉบับที่ 4) ณ วันที่ 27 มีนาคม 2563 และขอความร่วมมือให้พิจารณาถึงความจำเป็นในการจัดกิจกรรมที่มีลักษณะของการรวมกลุ่มคนเป็นจำนวนมาก ซึ่งมีความเสี่ยงที่จะทำให้การแพร่ระบาดเกิดขึ้นและกระจายสู่บุคคลทั่วไปโดยง่าย อีกทั้ง ปตท.ได้มีการติดตามสถานการณ์การแพร่ระบาดอย่างใกล้ชิดมาโดยตลอด
ดังนั้น จึงขอแจ้งเลื่อนการประชุมสามัญผู้ถือหุ้นประจำปี 2563 ที่จะมีขึ้นในวันศุกร์ที่ 10 เมษายน 2563 ณ ห้องบางกอกคอนเวนชั่น เซ็นเตอร์ ชั้น 5 ศูนย์การค้าเซ็นทรัลพลาซ่าลาดพร้าว แต่ยังคงมีมติอนุมัติจ่ายเงินปันผลระหว่างกาลแทนการจ่ายเงินปันผลประจำปี จากกำไรของบริษัท ณ วันที่ 31 ธันวาคม 2562 ในอัตราหุ้นละ 1.10 บาท เมื่อรวมกับการจ่ายเงินปันผลระหว่างกาลงวดครึ่งปีแรกของปี 2562 ที่คณะกรรมการฯ มีมติอนุมัติ เมื่อวันที่ 27 กันยายน 2562 ในอัตราหุ้นละ 0.90 บาท เป็นจำนวนเงินปันผล รวมอัตราหุ้นละ 2.00 บาท เป็นการจ่ายจากกำไรของบริษัททั้งปี 2562 และคณะกรรมการฯ จะไม่เสนอจ่ายเงินปันผลประจำปี 2562 อีก ทั้งนี้หากภายหลังจากสถานการณ์การระบาดของโรคไวรัส COVID-19 คลี่คลาย จะได้แจ้งให้ผู้ถือหุ้นทราบถึงวัน เวลา และสถานที่ในการประชุมฯ ใหม่อย่างเป็นทางการอีกครั้ง

PTT postpones the 2020 Annual General Meeting of Shareholders (“AGM”) and approves the interim dividend payment to help prevent the spread of COVID-19
March 30, 2020 – Mr.Chansin Treenuchagron, President & CEO of PTT Public Company Limited (PTT) revealed the resolutions of PTT’s Board of Directors on the Special Meeting No 1/2020 held on March 26, 2020 to postpone the 2020 Annual General Meeting of Shareholders and approve the interim dividend payment. Due to a state of emergency declared in all areas of the Kingdom of Thailand dated March 25, 2020, and according to Section 9 of the Emergency Decree on Public Administration in Emergency Situation, B.E. 2548 and Bangkok Metropolitan Administrative announcement, dated March 27, 2020, Subject: Temporary Closure of the Premises (No.4), and requested to consider activities involving gathering, which may promote person-to-person transmission of the virus, also, PTT has been closely monitoring in this situation; therefore, the 2020 Annual General Meeting of Shareholders, previously scheduled for April 10, 2020 at 13.30 hours at Bangkok Convention Center, 5th Floor, Central Plaza Ladprao (Plaza Zone) will be postponed until the situation is resolved.
However, PTT will implement an interim dividend payment instead of proposing an annual dividend, which is from the Company’s profit as of December 31, 2019 at Baht 1.10 per share. By combining the rate of 0.90 Baht per share for the first half of 2019, approved by the Board of Directors on September 27, 2019, the total dividend payment derived from the Company’s profit in 2019 will amount to 2.00 Baht per share. In this regard, the Board of Directors will not propose any other dividend payment for 2019. After the COVID-19 situation is resolved, the company will inform shareholders of a new AGM date and venue.
